Model Clause of Conciliation and Arbitration

CLAUSE IX: (Dispute Resolution)

The parties undertake that any controversy, dispute, litigation, disagreement, discrepancy, issue or claim resulting from the execution or interpretation of this contract or related to it, directly or indirectly or its complementary or modifying documents, will be definitively resolved through Conciliation. and Arbitration administered by the INTEGRARSE Conciliation and Arbitration Center with headquarters in the city of La Paz - Bolivia or authorised sub-headquarters, in accordance with its regulations and operating standards.

In the first instance, the parties will attempt a conciliation that will be initiated before the INTEGRARSE Conciliation and Arbitration Center at the request of any of the parties and that will last for a maximum period of thirty (30) calendar days, extraordinarily extendable by agreement of the parties for a similar term.  If conciliation fails due to non-attendance of a party or due to the failure of the negotiations, the parties will activate the arbitration mechanism in the same center.

Likewise, in accordance with article 67 of the Bolivian Law No. 708 on Conciliation and Arbitration, the parties are obliged to enable the figure of the Emergency Arbitrator for all preparatory and/or precautionary measures prior to the development of an eventual arbitration.

On the other hand, the parties accept that the designation of Conciliators, Emergency Arbitrator and/or Arbitrators must be made by the Board of Directors of the INTEGRARSE Conciliation and Arbitration Center.

In order to seek speed, economy and effectiveness in resolving the dispute, the Parties agree to carry out a virtual conciliation and arbitration at the simple request of one of them; This is in accordance with the current regulations of the Ministry of Justice and Institutional Transparency and the INTEGRARSE Conciliation and Arbitration Centre rules.

To this end, the Parties declare as valid for all types of communication and formal notification the following electronic addresses and telephone numbers: (a) By (name) the email: (address) and the telephone: (number) (b ) On behalf of (name), the email: (address) and the telephone: (number).

Therefore, all communication and notification performed on those addresses are considered fully valid and effective in all forms of law, unless one of the parties has notified the change thereof by a note issued by a public notary.
